The offering, announced on Tuesday, will issue up to 9,012,799 new shares, though the final number may be reduced if the full amount is not raised. The minimum required for the issuance to proceed is R$1,000,077.87, equivalent to 6,009 shares. If this threshold is met, the offering may close early, and any unsubscribed shares will be canceled by the fund's administrator.

## Issuance Details The **issuance price** has been set at **R$166.43 per share**, based on the net asset value of existing shares as of July 31, 2026. An additional **primary distribution fee of R$0.07 per share** will be applied, bringing the subscription price to **R$166.50**. The offering is restricted to professional investors, in compliance with Brazil's Securities and Exchange Commission (CVM) regulations.

## Preferential Rights for Existing Shareholders Current HGLG11 shareholders will have preferential subscription rights, with each existing share entitling them to **0.19764153762 new shares**. This ensures that existing investors have the first opportunity to maintain their proportional ownership in the fund.
